Limesync Terms of Service

These Terms of Service (“Terms”) govern access to and use of the LimeSync platform and related services (the “Services”) provided by LimeSync Pty Ltd (“LimeSync”, “we”, “us”, or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
The Services
LimeSync is an AI-powered documentation and process platform that enables users to upload videos, documents, and other content and generate structured outputs such as SOPs, playbooks, and related documentation.
We may update or modify the Services from time to time. We do not guarantee that any specific feature will be available indefinitely.
Accounts and Access
2.1 Account Registration
To access the Services, users must create an account or be invited to an organisation workspace. You agree to provide accurate and complete information and to keep your account details up to date.
2.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us promptly of any unauthorised access.
Customer Content
3.1 Ownership
You retain all rights, title, and interest in and to any content you upload or submit to the Services (“Customer Content”).
3.2 Licence to LimeSync
You grant LimeSync a limited, non-exclusive, worldwide licence to host, process, analyse, and display Customer Content solely for the purpose of providing and improving the Services.
We do not use Customer Content to train public AI models.
3.3 Responsibility for Content
You are responsible for ensuring that you have the necessary rights and permissions to upload and process Customer Content and that such content does not violate applicable laws or third-party rights.
Acceptable Use
You agree not to:
Use the Services for unlawful or prohibited purposes
Upload malicious code or attempt to compromise system security
Reverse engineer or attempt to extract source code
Interfere with or disrupt the integrity or performance of the Services
Use the Services to process data in violation of applicable laws
We may suspend or terminate access for violations of this section.
AI-Generated Outputs
The Services may generate content using automated and AI-based processes.
You acknowledge that:
Outputs are generated based on provided inputs
AI-generated outputs may contain errors or inaccuracies
You are responsible for reviewing and validating outputs before use
LimeSync does not guarantee the accuracy, completeness, or suitability of generated outputs.
Fees and Payment
Certain features of the Services may require payment. Pricing, usage limits, and payment terms will be specified at the time of purchase or in an applicable order form.
Unless otherwise stated:
Fees are non-refundable
Taxes are your responsibility, excluding taxes on LimeSync’s income
Support
Support is provided via email during standard business hours. Response times and support scope may vary based on plan or agreement.
We may offer additional support options under separate agreements.
Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with the Services and to use such information only for purposes related to the Services.
This obligation does not apply to information that is publicly available or independently developed.
Privacy and Data Protection
Our collection and use of personal data are described in our Privacy Policy, which forms part of these Terms.
Enterprise customers may enter into a separate Data Processing Agreement where required.
Term and Termination
10.1 Term
These Terms remain in effect while you use the Services.

You may stop using the Services at any time. We may suspend or terminate access if:

Upon termination, access to Customer Content may be removed in accordance with our data retention practices.
Disclaimers
The Services are provided “as is” and “as available”.
To the maximum extent permitted by law, LimeSync disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted or error-free.
Limitation of Liability
To the maximum extent permitted by law:
LimeSync will not be liable for indirect, incidental, special, or consequential damages
LimeSync’s total liability arising out of or relating to the Services will not exceed the fees paid by you to LimeSync in the twelve (12) months preceding the event giving rise to the claim
Some jurisdictions do not allow certain limitations, so these limits may not apply to you in full.
Indemnity
You agree to indemnify and hold harmless LimeSync from claims arising out of:
Your use of the Services
Your Customer Content
Your violation of these Terms or applicable law
Governing Law
These Terms are governed by the laws of Victoria, Australia, without regard to conflict of law principles.
Changes to these Terms
We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
